1. Agreement to Terms

By accessing or using Telgent AI's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to customers who purchase our AI voice agent services.

2. Description of Services

Telgent AI provides AI-powered voice agent services designed to handle business communications, including:

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.

3. User Accounts

To access certain features of our Services, you must register for an account. When you create an account, you must:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Payment Terms

4.1 Subscription Fees

You agree to pay all fees associated with your selected subscription plan. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

4.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. We will charge your payment method on file for the renewal term.

4.3 Price Changes

We reserve the right to adjust pricing with 30 days' notice. Continued use of the Services after price changes constitutes acceptance of the new pricing.

5. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Transmit any harmful, threatening, abusive, or harassing content
• Infringe upon intellectual property rights
• Distribute spam or unsolicited communications
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Use the Services for any illegal or unauthorized purpose

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Telgent AI and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used without our prior written consent.

You retain ownership of any content you upload to the Service but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute such content as necessary to provide the Services.

7. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our Services, you consent to our data practices as described in the Privacy Policy.

We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You acknowledge the inherent risks of providing information over the internet.

8. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELGENT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability for any claims under these Terms shall not exceed the amount paid by you to Telgent AI in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Telgent AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Services will cease immediately. All provisions of the Terms which should reasonably survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Rhode Island, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Rhode Island.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date" above. Continued use of the Services after changes constitutes acceptance of the modified Terms.
